These Terms govern your use of voidnetsystems.com (the "Site"), operated by VoidNet Systems LLC ("VoidNet," "we," "us"). By using the Site you agree to these Terms. If you don't agree, please don't use the Site. These Terms cover the public website only — any services we perform for you are governed by a separate written agreement, which controls if it conflicts with these Terms.

1. Informational purpose only

Content on the Site is provided for general information about VoidNet and its services. It is not professional, legal, or security advice, and it does not create a client, advisory, or fiduciary relationship. Don't act, or refrain from acting, based solely on the Site. A relationship begins only when we both sign a written engagement.

We work to keep the Site accurate, but THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. Statements about VoidNet's experience, methods, partners, or the in-development "Docyard" product describe our intent and may change; they are not commitments unless made in a signed agreement.

When you send us a message, inquiry, or waitlist request, you confirm the information is accurate and that you may share it. Don't submit confidential credentials, secrets, or regulated data through the Site. We handle submissions under our Privacy Policy. Any feedback you send us may be used without restriction or obligation to you.

5. Intellectual property

The Site and its content — text, design, graphics, logos, and the VoidNet name and marks — are owned by VoidNet or its licensors and protected by law. We grant you a limited, revocable, non-exclusive license to view the Site for your own informational use. You may not copy, republish, or create derivative works from the Site without our written permission.

The Site may link to third-party sites or services we don't control. We're not responsible for their content, practices, or policies. Following a link is at your own risk and subject to that third party's terms.

7. Limitation of liability

To the fullest extent permitted by law, VoidNet and its members and personnel will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or goodwill, arising from your use of (or inability to use) the Site. IN NO EVENT WILL VOIDNET'S TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SITE EXCEED USD $100. Some jurisdictions don't allow certain limitations, so parts of this section may not apply to you. Sections 7 and 8 apply only to your use of the public Site; they do not limit, expand, or govern any rights or liabilities under a signed engagement, which is governed exclusively by that engagement's own terms. NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW, INCLUDING FOR FRAUD, GROSS NEGLIGENCE, OR WILLFUL MISCONDUCT. If the $100 cap is held unenforceable, our liability will be limited to the maximum extent permitted by law.

8. Indemnification

You agree to defend, indemnify, and hold harmless VoidNet and its members and personnel from any third-party claim, loss, or expense (including reasonable legal fees) arising from (i) your unlawful use or misuse of the Site, (ii) your infringement of a third party's rights, or (iii) information you submitted that you were not authorized to share. VoidNet may assume exclusive control of the defense of any such claim at your expense, and you may not settle any claim without our prior written consent. This indemnity does not cover claims to the extent caused by VoidNet's own negligence and survives your use of the Site.

9. Changes

We may update the Site and these Terms at any time. Changes take effect when posted; we'll revise the "Last updated" date. Your continued use after a change means you accept the updated Terms. For material changes we will provide reasonable notice, and changes will apply prospectively only; they will not affect any dispute arising before the change took effect.

10. Governing law

These Terms are governed by the laws of the State of Texas, USA, without regard to conflict-of-laws rules. You agree that the state and federal courts located in Williamson County, Texas have exclusive jurisdiction over any dispute relating to the Site, and you consent to venue there.

11. Miscellaneous

If any provision is found unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions stay in effect. Our failure to enforce a provision isn't a waiver. These Terms inure to the benefit of VoidNet's successors and assigns; VoidNet may assign them, and you may not assign them without our consent. These Terms create no third-party beneficiary rights. Any claim relating to the Site must be brought within two (2) years after the claim arises, or it is permanently barred, to the extent permitted by Texas law. These Terms (and, where applicable, a signed engagement) are the entire agreement between us regarding the Site.
